Terms of Service

1. What RestockIt Is

RestockIt, operated by John Lif LLC ("we", "us", "our"), provides software: an automated wholesale growth agent ("the Agent") that brands ("you", "your") configure to work on their behalf. The Agent imports and organizes your commerce data, researches and enriches retailer information, drafts and sends outreach, manages conversations, and reports on results. We are a software provider. We are not a marketplace, a sales agent, a broker, an employment agency, or a party to any transaction between you and any retailer. All commercial relationships the Agent helps you build are yours alone.

2. Your Accounts, Your Authorization

The Agent operates through accounts you connect: your e-commerce store, your email sending infrastructure, and third-party wholesale platforms where you sell. By connecting an account you:

• authorize the Agent to access that account and act in it on your behalf, using the credentials, tokens, or team-member access you provide;
• represent that you have the right to grant that access under your agreement with the relevant platform;
• understand that everything the Agent does in a connected account is done under your direction, through your configuration and approvals, as your authorized representative;
• may revoke access at any time by disconnecting the account, which stops the Agent's activity there. For a wholesale platform the Agent signs in to, use Disconnect in Settings > Integrations: it deletes the sign-in we stored for that account and cancels messages waiting to send there; also remove the Agent from your team on that platform.

3. Your Responsibility for Content

The Agent drafts messages from the brand information, voice guidance, templates, and settings you provide, and sends them under the approval mode you choose (per-message review or supervised automation). Every message the Agent sends is your commercial communication. You are responsible for the accuracy and lawfulness of the content you approve, and of the brand facts, product claims, pricing, and persona details you supply. You must not configure or use the Agent to send content that is deceptive, infringing, or unlawful.

4. Automated Email & CAN-SPAM Compliance

You authorize us to send commercial electronic messages on your behalf. The service is built to comply with the CAN-SPAM Act (15 U.S.C. § 7701 et seq.):

• accurate header information and non-deceptive subject lines;
• identification as an advertisement where required;
• a valid physical postal address in commercial email;
• a clear opt-out mechanism in every email, honored within 10 business days;
• no harvested addresses, no misleading routing information.

5. Third-Party Platforms

The Agent interacts with third-party services you connect, including e-commerce platforms, third-party wholesale platforms, and email infrastructure providers. You acknowledge and agree that:

• your use of each platform remains governed by that platform's own terms, and automated activity in your account may be subject to those terms;
• we do not control third-party platforms and cannot guarantee that any platform will permit, continue to permit, or not penalize automated activity;
• RestockIt is not responsible or liable for any action a third-party platform takes with respect to your account, including restrictions, feature limits, suspension, termination, or other enforcement of its terms, whether or not related to activity conducted through our service;
• you agree to indemnify, defend, and hold harmless RestockIt, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from (a) your use of the service, (b) any platform enforcement action connected to automated activity in your accounts, or (c) third-party claims relating to communications sent on your behalf.

6. Data Handling

We collect, process, and store retailer contact information, order history, communication records, and brand profile data, used exclusively to provide the service. We employ industry-standard security measures including encryption at rest and in transit, row-level security policies, and access controls. See our Privacy Policy for complete details.

7. Billing & Cancellation

Subscriptions are billed monthly via Stripe unless a separate written arrangement applies to your account. You may cancel at any time from your dashboard. Upon cancellation the Agent immediately stops all outreach activity; your data is preserved for 90 days (during which you may reactivate) and then permanently deleted. No refunds are provided for partial billing periods. We may change pricing with 30 days notice.

8. Account Deletion

You may request immediate deletion of all your data by emailing legal@restockit.ai. We will stop all automated activity within 24 hours, delete your brand profile and configuration within 7 days, delete all retailer data associated with your brand within 30 days, and provide written confirmation.

9. Disclaimers & Limitation of Liability

The service is provided "as is" without warranties of any kind. We do not guarantee sales results, response rates, retailer conversions, deliverability, or any third-party platform's tolerance of automation. Our aggregate liability for claims arising from your use of the service is limited to the fees you paid in the three months preceding the claim. In no event are we liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost business opportunities, including those resulting from third-party platform actions.

10. Acceptance

You accept these terms by checking the agreement box during onboarding before launching the Agent. We record the time of acceptance and the terms version you accepted. Continued use of the service after notified changes (Section 11) constitutes acceptance of the updated terms.

11. Governing Law & Changes

These terms are governed by the laws of the State of California; disputes are resolved in the courts of Los Angeles County, California. We may update these terms; material changes will be communicated via email 30 days before taking effect.
