Terms of Service

1. Service Description

RestockIt ("we", "us", "our") provides an AI-powered wholesale growth platform that automates retailer outreach, manages communications, and facilitates order processing on behalf of brands ("you", "your"). Our service includes automated email campaigns, Faire platform messaging, voicemail drops, retailer data enrichment, and analytics.

2. Automated Communications & CAN-SPAM Compliance

By using RestockIt, you authorize us to send commercial electronic messages on your behalf to retailers. We comply with the CAN-SPAM Act (15 U.S.C. § 7701 et seq.) by:

• Including accurate header information and non-deceptive subject lines in all emails
• Identifying each message as an advertisement where required
• Including a valid physical postal address in all commercial emails
• Providing a clear opt-out mechanism in every email ("reply to unsubscribe")
• Honoring opt-out requests within 10 business days
• Never using harvested email addresses or misleading routing information

You are responsible for ensuring that the brand information, product descriptions, and persona details you provide are accurate and not misleading. You must not use RestockIt to send content that violates any applicable law.

3. Platform Automation & Third-Party Services

RestockIt interacts with third-party platforms including Shopify and Faire on your behalf. You acknowledge and agree that:

• Faire Automation: We access your Faire account using team member credentials you provide. Automated messaging and data collection on Faire may be subject to Faire's terms of service. We use stealth techniques to minimize detection, but cannot guarantee immunity from platform enforcement.
• Shopify Integration: We access your Shopify store via OAuth with the permissions you grant. We read order data, product information, and customer details to power our enrichment and classification systems.
• Indemnification: You agree to indemnify, defend, and hold harmless RestockIt, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your use of our service, (b) any platform restrictions or account actions resulting from automated activity, (c) any third-party claims related to communications sent on your behalf.
• RestockIt is not responsible for any account restrictions, suspensions, bans, or penalties imposed by Shopify, Faire, or any other third-party platform as a result of automated activity conducted through our service.

4. Data Handling

We collect, process, and store retailer contact information, order history, communication records, and brand profile data. This data is used exclusively to provide our service. We employ industry-standard security measures including encryption at rest and in transit, row-level security policies, and access controls. See our Privacy Policy for complete details.

5. Billing & Cancellation

Subscriptions are billed monthly via Stripe. You may cancel at any time from your dashboard. Upon cancellation: your agent immediately stops all outreach activity, your data is preserved for 90 days (during which you may reactivate), and after 90 days your data is permanently deleted. No refunds are provided for partial billing periods. We reserve the right to change pricing with 30 days notice.

6. Account Deletion

You may request immediate deletion of all your data by emailing legal@restockit.ai. Upon receiving your request, we will: stop all automated activity within 24 hours, delete your brand profile and configuration within 7 days, delete all retailer data associated with your brand within 30 days, and provide written confirmation of deletion.

7. Limitation of Liability

RestockIt is provided "as is" without warranties of any kind. We do not guarantee specific sales results, response rates, retailer conversions, or platform compliance. Our aggregate liability for any claims arising from your use of the service is limited to the total fees you paid in the three months preceding the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages.

8. Governing Law

These terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Los Angeles County, California.

9. Changes to Terms

We may update these terms at any time. Material changes will be communicated via email 30 days before taking effect. Continued use of the service after changes constitutes acceptance.
